As part of Brightpearl, Inventory Planner was acquired by the Sage Group on 18 January 2022. Following the acquisition, we’re now making changes to our systems to integrate fully with Sage and to help how we manage your continued service and support we provide you. These changes include an update to the standard terms and conditions (see linked below) and the Sage entity with which you now contract.

From 1 May 2023, if you previously were billed by Inventory Planner directly, you’ll notice the description of your payment to Inventory Planner will change to reference Brightpearl. In addition, your contract with us to use Inventory Planner solutions will transfer to Brightpearl Ltd or Brightpearl Inc.

These changes will not affect the base cost of your Inventory Planner solution, the service you receive, or the date on which payment is due for your subscription. However, depending on the country from which you operate or are headquartered, you may see taxes applied to your invoice.

There is no action required from you, however you may also see a comment on your bank statement advising you of the final payment under the old name/details and the first payment under the new name/details

Q: What is the timeline for these changes?

A: The changes are set to take effect from 1 May 2023. Customers who were previously billed directly by Inventory Planner will notice the description of their payment change to reference Brightpearl. Additionally, customers' contracts with Inventory Planner will transfer to Brightpearl Ltd or Brightpearl, Inc. depending on the customers’ location.

Q: Which Brightpearl entity will I contract with and see on my billing?

A: Customers based in the Americas, Australia, and New Zealand will contract and be covered by Terms and Conditions for Brightpearl, Inc. (the US entity). All other customers will contract with and be covered by Terms and Conditions of Brightpearl Ltd. (the UK entity). If a customer operates in different countries, they can choose one to connect to Inventory Planner’s account information and billing.

Q: Will the changes affect the cost of my Inventory Planner solution or the service I receive?

A: No, the changes will not affect the base cost of customers’ Inventory Planner subscription, the service they receive, or the payment due date for their subscription.

Q: Will taxes be applied to my invoice?

A: Depending on the country from which customers operate or are headquartered, they may see taxes applied to their invoice.

UK: If you are a customer located in the UK then VAT will be charged at the local rate of 20%.

Canada: If you are a customer located in Canada then you need to either provide a GST number or indicate that you don’t have one. If you fail to do so, then you may be charged GST at your local rate.

EU: If you are a customer located in Europe then you need to either provide a VAT number or indicate that you don’t have one. If you fail to do so, then you may be charged VAT at your local rate.

Norway: If you are a customer located in Norway then you need to either provide a VAT number or indicate that you don’t have one. If you fail to do so, then you may be charged VAT at your local rate of 25%.

Australia: If you are a customer located in Australia and are registered for Australian GST then you need to provide your Australian Business Number (ABN) or indicate that you don’t have one. If you fail to do so, then you may be charged GST at your local rate of 10%.

New Zealand: If you are a customer located in New Zealand and are registered for New Zealand GST then you need to provide your Inland Revenue Department (IRD) number or indicate that you don’t have one. If you fail to do so, then you may be charged GST at your local rate of 15%.

USA: If your business is located in an American jurisdiction where Brightpearl Inc has a business presence, then Brightpearl is required by law to charge applicable taxes on your subscription. Brightpearl has a sales tax collection requirement in the following US states and cities/districts.

  • Arizona

  • Chicago

  • Kentucky

  • Maryland

  • Massachusetts

  • New York

  • Ohio

  • Pennsylvania

  • Rhode Island

  • South Carolina

  • Tennessee

  • Texas

  • Utah

  • Washington

Please note that the above state and city list in which sales taxes are chargeable is subject to change.

Q: Do customers need to take any action in response to this email?

A: No, there is no action required from customers. However, they may see a comment on their bank statement advising them of the final payment under the old name/details and the first payment under the new name/details.
